1. Acceptance of Terms & Engagement Mandate
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (whether individually as an executive, founder, or on behalf of an enterprise entity, “Client”) and Brandonline Reputation (“Company”, “we”, “us”, or “our”), having its principal operating offices in New Delhi, India.
By retaining our services, accessing our web platforms, submitting case assessment forms, or executing a Statement of Work (SOW) or Master Services Agreement (MSA), you unconditionally agree to be bound by these Terms. If you do not agree to these terms, you must refrain from using our services.
2. Scope of Reputation & De-Indexing Services
Brandonline Reputation provides specialized online reputation management, statutory search engine de-indexing, negative link suppression, LLM AI search governance, and corporate sentiment protection.
- Statutory De-Indexing: Preparing and submitting lawful takedown petitions to search engine intermediaries (Google, Bing) and host webmasters under Indian IT Act Rule 3(1)(b), DMCA copyright provisions, Right to be Forgotten (RTBF), and platform guidelines.
- Algorithmic Suppression: Engineering, deploying, and ranking high-authority, verified counter-assets to displace defamatory, obsolete, or unauthorized URLs beyond Google Page 3+.
- AI Overview & LLM Governance: Calibrating Knowledge Graph triplets, Schema.org entities, and Wikidata anchors to rectify generative AI hallucinations across Google Gemini, ChatGPT, and Perplexity.
- Review & Rating Dispute Management: Challenging fraudulent, policy-violating 1-star reviews across Google Business Profile, Glassdoor, Trustpilot, AmbitionBox, and app stores.
3. Client Representations & Truthfulness of Materials
To maintain statutory integrity and compliance with international and domestic laws, the Client warrants and represents that:
4. Timelines & SLA Milestone Protocols
Execution timelines vary based on target domain authority, hosting jurisdiction, platform responsiveness, and search algorithm crawl cycles:
- Standard Remediation SLA: Most statutory de-indexing and algorithmic displacement deliverables are achieved within a window of 48 hours to 45 days (Terms & Conditions apply), as specified in your individual Statement of Work.
- Intermediary Latency: Search engine legal review queues and webmaster compliance response times operate beyond direct third-party control. Where platform delays occur, Company will provide documented submission proofs and filing status tracking.
5. Confidentiality & Mutual Non-Disclosure Binding
Confidentiality is the cornerstone of our practice:
Both parties agree that all case strategies, target keywords, URLs, fee terms, and communications shall remain strictly confidential in perpetuity. Company will never publicly acknowledge, market, or disclose Client identity without explicit prior written authorization.
6. Fee Structure & Milestone-Based Billing
Services are billed in accordance with the executed Statement of Work (SOW):
- Milestone Invoicing: Where milestone-based billing applies, payments are tied directly to validated search rank diffing, URL de-indexing certificates, or verified review purges.
- Warranty Coverage: Active scopes include post-remediation monitoring and automated re-suppression in the event a quarantined URL attempts to re-index during the contracted warranty period.
7. Platform Intermediaries & Safe Harbors
The Client acknowledges that search engines (e.g., Google, Bing, Yahoo), social platforms (Meta, X, TikTok, Reddit), and third-party hosting providers are independent intermediary entities governed by intermediary safe harbor laws (Section 79 of the Indian IT Act, Section 230 of the US CDA, EU Digital Services Act).
While Brandonline Reputation deploys forensic and statutory mechanisms with high documented success rates, search engine algorithm updates and third-party editorial decisions operate under independent platform terms.
8. Power of Attorney & Authorization Mandates
Where necessary to file formal legal takedowns, trademark infringement notices, or RTBF petitions on your behalf, Client grants Company a limited, non-exclusive agency authorization and Letter of Authority (LoA) to communicate with webmasters, intermediaries, and domain registrars strictly within the contracted scope.
9. Limitation of Liability & Indemnification
To the maximum extent permitted by applicable law:
- Company shall not be liable for indirect, incidental, punitive, or consequential damages resulting from third-party media publications or search engine core algorithm changes.
- Client agrees to indemnify and hold harmless Company from any third-party claims arising from fraudulent materials, false statements, or unverified claims provided by Client.
10. Governing Law, Dispute Resolution & Jurisdiction
These Terms shall be governed by and construed in accordance with the substantive laws of the Republic of India, including the Indian Contract Act (1872) and Information Technology Act (2000). Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
